AMALGAMATION

For the closing Chapter the following format must be used as a Notice of Motion.

[The following should be printed on the Summons]

Notice of Motion in the name of [name and rank] that:-

  1. This Chapter, jointly with the [……] Chapter, petition the ME First Grand Principal for a Certificate of Amalgamation with a view to this Chapter being amalgamated into the [………..] Chapter and for the name of the Amalgamated Chapter to be […….].
  2. Subject to the grant of a Certificate of Amalgamation by the ME First Grand Principal and to the acceptance by the […..] Chapter of as many Members of this Chapter as wish to become joining Members., the assets and funds of this Chapter  [with the exception of (list the items below)] be transferred to the […….] Chapter.
  3. List of assets and funds being transferred [ details of recipients ].
  4. This Chapter submit its Charter for formal cancellation so that it may be delivered to, and be held by, the First principal for the time being of […..] Chapter.

Note:  Individual Chapters may be subject to restrictions on the disposal of the general or charity funds.  Such issues will need to be addressed at an early stage and embodied in the resolutions if necessary.

At the following Meeting the Resolutions must be voted on, requiring a simple majority AND not less than five members voting in favour.

PURSUANT TO NOTICE OF MOTION

  1. To receive the Propositions, which were given on [date] by [name and rank] that :-
  2. This Chapter, jointly with the [……] Chapter, petition the ME First Grand Principal for a Certificate of Amalgamation with a view to this Chapter being amalgamated into the [………..] Chapter and for the name of the Amalgamated Chapter to be […….].
  3. Subject to the grant of a Certificate of Amalgamation by the ME First Grand Principal and to the acceptance by the […..] Chapter of as many Members of this Chapter as wish to become joining Members., the assets and funds of this Chapter [with the exception of (list the items below)] be transferred to the […….] Chapter.
  4. List of assets and funds being transferred [ details of recipients ].
  5. This Chapter submit its Warrant for formal cancellation so that it may be delivered to, and be held by, the First principal for the time being of […..] Chapter.
